Many foreign brands discover a hard truth only when a distributor relationship ends: the BPOM registration for their products is not in their name. It sits with the Indonesian company that filed it. When that company is a distributor you are leaving, your market access can leave with them. This guide explains who can hold a BPOM registration, the risks of each model, and how to plan a distributor change without disappearing from shelves. For the full registration process, see our guide to BPOM registration for foreign companies.
Why foreign brands can’t hold BPOM registration directly
BPOM registrations and notifications are issued to an Indonesian legal entity that takes responsibility for the product in the market. A foreign manufacturer without an Indonesian entity cannot be the holder. Instead, the foreign principal typically issues a Letter of Authorization (LoA) to an Indonesian company, which then registers the product.
That Indonesian company — the registration holder — is named on the label and is BPOM’s point of contact for safety, post-market surveillance and recalls.
The three common holder models
- Distributor or importer as holder. The fastest and most common route. The risk is dependency: the distributor controls the registration and, in practice, your access to the market.
- Independent registration holder (third-party license holder). A neutral Indonesian company holds the registration and appoints one or more distributors. This separates regulatory control from commercial distribution, giving the brand more flexibility to change distributors.
- Your own Indonesian entity. A PT PMA holds the registrations directly. This gives full control and is usually the long-term model for brands with significant Indonesian sales. It requires starting a business in Indonesia with the right business classification and import licensing.
What happens when you switch distributors
If your current distributor holds the BPOM registration, switching is rarely a simple administrative transfer. In most cases the new holder will need to register the product again under its own name, using a new LoA from you. During that period, your product may not be legally sold by the new partner. Meanwhile, the old registration may remain active in the former distributor’s name unless it is cancelled.
The practical consequences:
- A gap in supply while the new registration is processed.
- Possible confusion in the market if old stock remains in circulation.
- Leverage in negotiations shifts to the outgoing distributor.
How to protect yourself before signing with a distributor
- Contract clauses. Require the distributor to cooperate with cancellation or transfer of registrations and to hand over all registration documents if the relationship ends.
- Limited LoAs. Issue LoAs with clear terms and durations, and revoke them in writing when the relationship ends.
- Own the dossier. Keep copies of everything submitted to BPOM: formulations, test reports, label artwork and certificates.
- Consider a neutral holder early. If you plan to work with several distributors or expect to change partners, an independent holder or your own entity avoids lock-in.
Planning a distributor change: a practical sequence
- Audit which SKUs are registered, by whom, and when each registration expires.
- Prepare the new holder (distributor, independent holder or your PT PMA) and issue a new LoA.
- File new registrations, prioritizing best-selling SKUs.
- Agree a transition plan for old stock with the outgoing distributor.
- Revoke the old LoA and request cancellation of old registrations once new ones are active.
